1. Introduction

Welcome to Product Leader Academy. These Terms of Service ("Terms") govern your access to and use of our website, mobile application, and services, including any content, functionality, and services offered through our website or mobile application (collectively, the "Services").

The Services are owned and operated by OKO Labs Inc d/b/a Product Leader Academy, a Florida-based corporation ("Company", "we", "us", or "our").

Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of our Services, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information and to update this information to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Payment Terms

4.1 Subscription Options

We offer various subscription options, including monthly subscriptions with dripped content and full-access payment options. The specific features, content, and pricing for each subscription option are described on our website.

4.2 Payment Processing

We use Stripe to process payments. By providing your payment information, you authorize us to charge your payment method for the subscription fee or one-time payment amount. You represent and warrant that you have the legal right to use any payment method you provide.

4.3 Payment Plans

We may offer payment plans through third-party loan providers. If you choose to use a payment plan, you will be subject to the terms and conditions of the loan provider in addition to these Terms.

4.4 Automatic Renewal

Monthly subscriptions automatically renew at the end of each billing period unless you cancel your subscription before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us.

4.5 Price Changes

We reserve the right to change our subscription fees at any time. If we change the fees for your subscription, we will provide notice of the change on our website or by email at least 30 days before the change takes effect.

5. Refund Policy

We offer a 30-day satisfaction guarantee. If you are not satisfied with our Services, you may request a full refund within 30 days of your initial purchase. To request a refund, please contact us at support@productleaderacademy.com.

Please note that if you receive a refund, you will not be eligible to enroll in our programs again in the future. This policy is in place to ensure that all users are committed to the program and to prevent abuse of our refund policy.

6. Disclaimer of Warranties and No Guarantees

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NO GUARANTEES OF RESULTS: OKO Labs Inc d/b/a Product Leader Academy does not guarantee or warrant any specific results from use of the Services, including but not limited to landing a job, receiving job interviews, improving your career prospects, or any other professional or personal outcomes. The Services provide curriculum training, community access, resources, and guides, but individual results will vary based on numerous factors outside our control, including but not limited to your personal effort, background, experience, market conditions, and other circumstances.

You acknowledge and agree that you are purchasing access to educational content, community resources, and guidance materials only. Your success depends on many factors, including your dedication, abilities, and market conditions, over which we have no control. Testimonials and examples used in our marketing materials are not to be interpreted as promises or guarantees of results.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL OKO LABS INC D/B/A PRODUCT LEADER ACADEMY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE ACT GIVING RISE TO LIABILITY.

8. Indemnification

You agree to defend, indemnify, and hold harmless OKO Labs Inc d/b/a Product Leader Academy, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Services, including use of any information obtained from the Services;
  • Any content you submit, post, transmit, or otherwise make available through the Services, including any claim related to infringement of intellectual property rights, privacy rights, or publicity rights;
  • Your violation of any rights of another person or entity;
  • Any breach or violation by you of any applicable laws, rules, or regulations, including data protection and privacy laws;
  • Any misrepresentation made by you in connection with your use of the Services or in communications with us;
  • Any dispute between you and any other user of the Services or any third party in connection with your use of the Services.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. This indemnity obligation will survive these Terms and your use of the Services.

9. Intellectual Property Rights

9.1 Our Content

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by OKO Labs Inc d/b/a Product Leader Academy, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

9.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:

  • Modify, reproduce, distribute, publicly display, publicly perform, or create derivative works based on the Services or their content
  • Use any data mining, robots, or similar data gathering or extraction methods
  • Use the Services for any commercial purpose
  • Share your account credentials with others or allow others to access your account

9.3 User Content

You retain ownership of any content you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with providing and promoting the Services.

10. Community Guidelines

Our Services include community features where you can interact with other users. When using these features, you agree to:

  • Treat other users with respect
  • Not post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Not impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Not post unsolicited promotional content or spam
  • Not use the community features for any illegal or unauthorized purpose

We reserve the right to remove any content that violates these guidelines and to suspend or terminate your access to the community features or the Services entirely.

11. Text Message Communications

By providing your phone number and consenting to receive text messages, you agree to receive text messages from us regarding your account, updates, and promotional information. Message and data rates may apply. You can opt out of receiving text messages at any time by replying "STOP" to any of our messages or by contacting us.

12. Coaching Sessions

Our Services include group coaching sessions and may offer paid one-on-one coaching sessions. By participating in these sessions, you agree to:

  • Arrive on time for scheduled sessions
  • Provide at least 24 hours' notice if you need to reschedule a one-on-one session
  • Understand that missed sessions without proper notice are forfeited
  • Acknowledge that coaching results may vary and are not guaranteed

13. Dispute Resolution

13.1 Mandatory Mediation

Before filing any legal action or proceeding against OKO Labs Inc d/b/a Product Leader Academy, its officers, directors, employees, or agents relating to the Services or these Terms, you agree to first engage in good faith mediation in an attempt to resolve the dispute. The mediation shall be conducted by a mediator mutually agreed upon by the parties, and the costs of mediation shall be shared equally by the parties.

13.2 Waiver of Jury Trial

YOU AND OKO LABS INC D/B/A PRODUCT LEADER ACADEMY HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and OKO Labs Inc d/b/a Product Leader Academy are instead electing that all claims and disputes shall be resolved by mediation as provided in Section 13.1, except as provided in Section 13.4.

13.3 Venue and Governing Law

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the state or federal courts located in Broward County, Florida. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to protect its intellectual property rights, confidential information, or other proprietary rights in any court of competent jurisdiction without first engaging in mediation.

14. Class Action Waiver

YOU AND OKO LABS INC D/B/A PRODUCT LEADER ACADEMY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and OKO Labs Inc d/b/a Product Leader Academy agree otherwise, no mediator may consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

15. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. Force Majeure

OKO Labs Inc d/b/a Product Leader Academy shall not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of OKO Labs Inc d/b/a Product Leader Academy including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, pandemic, lockouts, strikes or other labor disputes (whether or not relating to either party's workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

17. Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by OKO Labs Inc d/b/a Product Leader Academy without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

18. Entire Agreement

The Terms constitute the sole and entire agreement between you and OKO Labs Inc d/b/a Product Leader Academy with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Services.

19. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision, in our sole discretion, is material, we will notify you via email or through the Services. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms.

20. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.
